This End User License Agreement ("Agreement") is a legal agreement between you (individual or a single entity) and Shenzhen Yunlian Software Co., Ltd. regarding the Dlabel software accompanying this "Agreement". Once you install, copy or use the Dlabel cloud tag, you agree to be bound by the terms of this Agreement. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL, COPY OR USE Dlabel Cloud Labels。
Shenzhen Yunlian Software Co., Ltd. is an enterprise of the People's Republic of China registered in Shenzhen. This license grants you the following rights：
The license for this Dlabel software is for object code only, for internal use only, and for use only on one specific hardware system. Yunlian Software Co., Ltd. only licenses the Dlabel software to you, not sells it. You own the media on which this Dlabel software is recorded and the corresponding encryption, but CloudLink Software Co., Ltd. retains ownership of this Dlabel software and copies that this license authorizes you to make. You acknowledge that CloudLink Software Co., Ltd. reserves all other proprietary rights in and to this software, including without limitation all copyrights, trademark rights and all other intellectual property rights. You agree to suppress any action that reduces or affects these rights。
You agree that this License will apply to any replacement or update software provided to you by CloudLink Software Co., Ltd. and its authorized representatives to replace or be used in conjunction with the software attached to this License。
Documentation accompanying Dlabel software is licensed for internal, non-commercial reference purposes only。
Label format templates may be included in the Dlabel software. You may copy and modify the label format templates provided by the Dlabel software accompanying this Agreement and distribute these templates with your modifications for use by other licensees of the Dlabel software。
This license allows you to install and use the Dlabel software on a single hardware system at a time. This license does not permit the Dlabel software to exist on multiple hardware systems at the same time. You may make a machine-readable copy of the Dlabel software for backup purposes only. The backup copy must include all original copyright notices and any other proprietary legends of the Dlabel software. You may use the Dlabel software in a network environment and transfer the Dlabel software from one hardware system to another hardware system on the network, provided that each hardware system receiving the Dlabel software must be the subject of a license to the received Dlabel software。
Except as permitted by applicable law and this License, you may not decompile, reverse engineer, disassemble, modify, rent, lend, distribute, maliciously attack this Dlabel software。
You may assign your rights under this License on condition that you transfer the documentation, this License and the Dlabel software to a third party who agrees to the terms of this License and destroy any other copies of the software in your possession. If you fail to comply with the terms of this license, the rights granted to you will terminate without notice。
You expressly acknowledge and agree that your use of this Dlabel software is at your own risk. This Dlabel software is provided "as is" without warranty of any kind. This product is designed and provided as a general purpose product and not for any specific use by any user. You agree that no product is error-free and, therefore, you should always make backup copies of your files. For Yunlian Software Co., Ltd., Dlabel disclaims all warranties, express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. CloudLink Software Co., Ltd. does not warrant that the functionality of this Dlabel software will meet your needs, or that the operation of this Dlabel software will be uninterrupted or completely error-free, or that defects in this Dlabel software will be corrected. Furthermore, CloudLink Software Co., Ltd. does not warrant or make any representations regarding the correctness, accuracy, reliability or otherwise of the use of the Dlabel software or related documentation or the results of the use. Any oral or written information or advice given by Yunlian Software Co., Ltd. and its authorized representatives will not create a warranty or in any way expand the scope of this warranty. If this Dlabel software proves to be defective, you (and not Yunlian Software Co., Ltd. and its authorized representatives) assume the entire cost of all required service, repair, or correction。
In no event, including negligence, shall Yunlian Software Co., Ltd. be liable for any incidental, special, indirect or consequential damages arising out of or in connection with this license. Yunlian Software Co., Ltd. and its authorized representatives shall not be liable for any damages (including, but not limited to, damages for loss of business profits, business interruption, loss of business data, or other monetary losses) arising out of the use or inability to use this product , even if Yunlian Software Co., Ltd. has been notified of the possibility of such damages. In any case, the total liability of Yunlian Software Co., Ltd. for all losses shall be limited to the price you have paid for the software。
This license will be governed by the laws of the People's Republic of China, and any disputes or claims arising out of or in connection with this Agreement or its breach shall be resolved by arbitration by the corresponding arbitration authority in Shenzhen, People's Republic of China. If for any reason a court of jurisdiction finds any term or part unenforceable, the remainder of this license will remain in force。
This license constitutes the entire agreement between the parties with respect to the use of the Dlabel software and supersedes all prior or contemporaneous understandings in this matter. Any amendments or modifications to this License must be notified in writing and signed by CloudLink Software Co., Ltd. to be legally binding。
We may occasionally update this license agreement to reflect customer feedback and changes in our services. When we post changes to this license agreement, we also revise the "Last Updated" at the top of the license agreement. If material changes are made to the license agreement or your license to use the software on dlabel.cn, we will notify you by posting a prominent notice of such changes prior to such changes becoming effective or by sending you a notice directly. We welcome you to periodically review this license agreement to understand how dlabel.cn licenses your use of the software。
